1. The Services
Folderbird provides software that lets you remotely access, browse, search, transfer, and manage files that reside on computers and devices you own or are authorized to control, from a web browser or through our application programming interfaces. You install a Folderbird application on your device, and the Services relay the actions you initiate to that device. The Services are an access and control tool; they are not a backup, archival, or storage service, and we do not retain copies of your files (see our Privacy Policy).
2. Eligibility and accounts
You must be at least 16 years old (or the age of majority in your jurisdiction, if higher) and able to form a binding contract to use the Services. You are responsible for the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. Notify us promptly at info@folderbird.com if you suspect any unauthorized use.
3. License to use
Subject to these Terms and, for paid plans, payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own personal or internal business purposes. We reserve all rights not expressly granted.
4. Acceptable use
You agree that you will not, and will not permit anyone else to:
- Use the Services to access, control, or transfer data on any device or account that you do not own or are not authorized to access;
- Use the Services for any unlawful, infringing, harmful, or fraudulent purpose, or to store or transmit material that violates the rights of others or applicable law;
- Attempt to gain unauthorized access to the Services, other accounts, or our systems, or interfere with or disrupt the integrity or performance of the Services;
- Reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent permitted by applicable law;
- Resell, sublicense, or otherwise commercially exploit the Services except as expressly permitted; or
- Use the Services in a way that imposes an unreasonable load on our infrastructure or circumvents any usage limits, security measures, or access controls.
5. Your content and responsibilities
You retain all rights to the files and data you access through the Services ("Your Content"). We claim no ownership over Your Content. You are solely responsible for Your Content, for having the necessary rights and permissions to access and handle it, and for maintaining your own backups. You acknowledge that the Services do not store Your Content and that we are not responsible for any loss of, or inability to access, files that reside on your own devices.
6. Plans, fees, and billing
- Folderbird offers free and paid subscription plans. The features and limits of each plan are described on our pricing page and may change over time.
- Paid subscriptions are sold and processed through our payment provider, Paddle, which acts as the merchant of record for those transactions. By purchasing a plan, you also agree to Paddle's applicable terms.
- Unless stated otherwise, subscriptions renew automatically at the end of each billing period at the then-current price, until you cancel. You can cancel at any time; cancellation takes effect at the end of the current billing period.
- Fees are exclusive of taxes unless stated otherwise; you are responsible for any applicable taxes, which may be collected by Paddle.
- We may change our prices or plans; where required, we will give you advance notice, and changes will apply to subsequent billing periods.
- Refunds, where available, are governed by our Refund Policy.
7. Third-party services
The Services may integrate with or rely on third-party services, including single sign-on providers, payment processing (Paddle), cloud infrastructure (Microsoft Azure), and optional connectors that allow authorized third-party applications or AI agents to access your devices at your direction. Your use of those third-party services is governed by their own terms, and we are not responsible for them. You are responsible for any access you authorize, including access granted to agents or integrations.
8. Intellectual property
The Services, including all software, text, graphics, logos, and the "Folderbird" name and branding, are owned by us or our licensors and are protected by intellectual property laws. Except for the limited license granted above, these Terms do not grant you any rights in our intellectual property.
9. Privacy
Our collection and use of personal data in connection with the Services is described in our Privacy Policy, which is incorporated into these Terms by reference.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY DATA OR CONTENT WILL BE AVAILABLE, PRESERVED, OR ACCURATE. YOU USE THE SERVICES AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL FOLDERBIRD OR ITS OFFICERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (B) USD 50. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
12. Indemnification
You agree to indemnify and hold harmless Folderbird and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, Your Content, or your violation of these Terms or any applicable law or third-party right.
13. Suspension and termination
You may stop using the Services and close your account at any time. We may suspend or terminate your access to the Services, in whole or in part, if you breach these Terms, if we reasonably believe your use poses a security or legal risk, or if required by law. Upon termination, your license to use the Services ends. Provisions that by their nature should survive termination (including Sections 5, 8, 10, 11, 12, 15, and 16) will survive.
14. Changes
We may modify the Services or these Terms from time to time. When we make material changes to these Terms, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
15. Governing law and disputes
These Terms are governed by the laws of [Jurisdiction / Governing Law], without regard to its conflict-of-laws rules, and the courts of [Jurisdiction / Governing Law] will have exclusive jurisdiction over any dispute, except where mandatory consumer-protection law entitles you to bring proceedings in your place of residence. Nothing in these Terms affects your statutory rights as a consumer.
16. General
These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for any delay or failure to perform caused by events beyond our reasonable control.
